Introduction

Corporate internal investigations for fraud, bribery, or corruption allegations are the foundation for very many different types of legal process: legal claims; HR interventions; notifications to authorities; changes to a business plan or current operating model all can safeguard a company’s future or expose it to new risks.

When conducted well they enable a company to learn from past events, manage its risks, and avoid the types of disruption that can cause loss of clients, staff, and suppliers. Equally, poorly undertaken internal investigations can exacerbate underlying issues, and in some cases create new exposures.

This virtual classroom seminar will consider the causes of internal investigations, and how they drive the nature of the investigation to be performed. It will consider changes in law, such as the new offence of failure to prevent fraud, and the impact on internal investigations.

In addition, the impact of the recent Güralp Systems case may have on internal investigations and deferred prosecution agreements will be explored. The aim will be to provide practical tips and ‘dos and don’ts’ that are of immediate assistance to those managing or involved in internal investigations, and to consider the particular issues that arise where investigations potentially span a number of jurisdictions.
