This 2-day deep dive into business sales and purchase will give participants a complete, end to end understanding of the business sale lifecycle - from preparation and valuation through to negotiation, legal process, completion and post sale transition.

The focus is practical, risk aware and grounded in real world SME transactions.

What You Will Learn

  • Gain a complete, end to end understanding of the business sale lifecycle, from preparing a company for market through to completion and post sale transitions
  • Understand how different transaction structures work in practice - including share sales, asset sales, MBOs and EOTs - and when each is advantageous
  • Learn how businesses are valued, including practical approaches such as EBITDA multiples, asset based valuation, DCF and comparable transactions
  • Explore the buyer vs. seller risk landscape, including liabilities, tax implications, continuity issues and negotiation leverage
  • Work through the key steps of a transaction: due diligence, heads of terms, drafting and negotiating SPAs/APAs, disclosure, warranties/indemnities and completion processes
  • Understand the impact of employment, regulatory and contractual considerations, including TUPE, change of control issues and sector specific approvals
  • Learn to identify and mitigate common deal breakers through practical case studies, real world examples and ‘practice notes’ focused on risk management
  • Gain confidence in handling post completion matters, such as accounts adjustments, Companies House requirements, tax consequences, transitional arrangements and earn out administration
  • Develop an understanding of what buyers and sellers each want to achieve commercially - ROI, legacy, risk mitigation, continuity and certainty of payment
  • Learn practical tools for client management, expectation setting, communication strategies, document control and managing timelines that help business development and risk mitigation
