Introduction

The introduction of the UK’s National Security and Investment Act 2021 (the ‘Act’) established a wide-reaching statutory regime for UK Government scrutiny of, and intervention in, investments for the purposes of protecting UK national security.

Over a thousand acquisitions were reviewed by the UK Government in the first 13 months of the national security and investment (‘NSI’) regime alone.

Given the potential civil and criminal consequences for failure to comply with certain aspects of the NSI regime, a basic understanding of the Act and its requirements is crucial.
