Introduction
The Markets in Financial Instruments Directive II (MiFID II), and the associated Markets in Financial Instruments Regulation (‘MiFIR’) have been in force since 2018, with revisions during the COVID period (the ‘Quick Fix’ directive), and a slow but steady divergence in regulatory provisions between the UK and the EU post Brexit.
In this period numerous fines and sanctions have been imposed by the UK FCA and the EU National Competent Authorities (NCA) for non-compliance/malfeasance under the MiFID II framework, and incomplete/incorrect transaction reporting under MiFIR. In conjunction with this, the European regulators (ESMA and NCAs) have introduced significant changes to MiFID II and MiFIR (the upcoming ‘MiFID III’ and ‘MiFIR II’).
