Introduction

This new virtual classroom seminar will take you through the legal duties of corporate directors and provide you with a breakdown of common governance oversights, as well as practical tools to address potential mismanagement of corporate affairs by directors.

Presented by expert speaker Dr Georgina Tsagas, this session will explore directors’ general statutory duties under sections of the Companies Act 2006 and will examine hypothetical and real-life case studies from legal decisions and the media to exemplify how governance oversights can unfold and manifest.

As board members can be held accountable by ‘the company’ itself, shareholders and creditors amongst others, this session will provide advisors, managers, directors and compliance officers with practical and legal tools which will enable them to prevent and manage potential common governance oversights as they arise.

What You Will Learn

This live and interactive session will cover the following:

  • An overview of the basics of UK directors’ statutory duties under sections 171-177 and sections 178-182 of the Companies Act
  • Common governance oversights, including cases of unfairly prejudicial conduct and breaches of duties including cases of conflict of interest, the standard of care and skill, decision-making to promote the success of the company as a whole, transactions requiring shareholder approval and board authorisation
  • A toolkit to address governance issues, including substantive options offered by legislation and outlines in the sections of the Act, as well as procedural ones, such as ADR mechanisms, including mediation, conflict coaching and effective behaviour management
