Introduction

What does it mean to digitalise a trading agreement - and why is storing a signed PDF only the beginning?

This practical seminar explores the digitalisation of ISDA®, ICMA and ISLA documentation, connecting legal drafting and negotiation with the structured data needed by the wider business. At its centre is the Common Domain Model (CDM) and its relationship with clause libraries, taxonomies and the representation of legal agreements. Through practical examples, you will examine contract lifecycle management tools, protocols and digital notices and consider the preparation needed to make these initiatives work within your own organisations.

What You Will Learn

This live and interactive course will cover the following:

• From documents to usable legal data: The role of trade association published clause libraries and taxonomies in identifying business outcomes, standardising drafting and capturing negotiated variations. What firms need to prepare in their templates, negotiation playbooks and fallback positions before automating
• The CDM - what you need to know: What the model is, how it connects products, trades, lifecycle events and legal agreements and why it matters to lawyers and documentation teams - not just technologists. Understanding the distinction between a common data standard and the platforms that use it
• Representing agreements in the CDM: Moving from clause wording to business outcomes, identifiers, elections and structured values. Exploring default provisions, bespoke exceptions, umbrella agreements and amendments, while distinguishing existing coverage from areas still being developed
• CLM tools, including ISDA® Create: How digital creation, negotiation, approval and execution can capture legal data at source. Understanding the connection with the CDM and assessing document coverage, workflow requirements and integration with downstream systems. The session will also consider the different challenges of extracting and validating data from legacy agreements
• Protocols and agreement changes: Understanding protocols as a mechanism for amending documentation, and identifying the adherence, scope, elections and effective-date information that must be reflected in an accurate record of the governing agreement. The ISDA® Notices Hub Protocol will provide a practical example
• ISDA® Notices Hub in practice: Its role in delivering and receiving critical ISDA® notices, its relationship with the contractual framework, and the practical considerations around onboarding, notice details, delivery evidence and internal escalation. Its role with other trading agreement types
• Putting the pieces together: A worked exercise following an agreement provision from negotiated wording into structured data, then considering an amendment and its downstream impact. Delegates will identify implementation priorities, ownership, validation requirements and questions to ask technology providers
