The Companies Act requires companies to keep minutes of all board meetings but provides no insight into the form or content of such minutes.

For officers to comply with their statutory obligations, it is therefore necessary for officers and advisers to have a clear understanding of the bases for effectively drafting board minutes.

This new full day course provides guidance on what should be included to ensure accurate record keeping without it becoming a transcript of the meeting.

The course will look at how board decisions are made, before providing key drafting principles and tips of what to include and avoid.

What You Will Learn

This course will cover the following:

  • Effective board meetings:
    • Sole directors - consideration of recent caselaw including Hashmi v Lorimer-Wing
    • Virtual meetings - the benefits and potential problems with technology (including discussion regarding ‘ICSA guidance on good practice for virtual board and committee meetings’)
    • Conflicts of interest
    • Notice of meetings and board packs
  • Why keeping minutes is important
  • Keeping minutes
  • Principles of good corporate governance
