Introduction

Directors are subject to statutory and non-statutory duties which they owe to their company. Over time, caselaw has given directors and those that advise them some context as to how these duties should be applied in practice.

The House of Commons Committee reports on what went wrong at Carillion and Thomas Cook provide an opportunity to assess directors’ duties in action and to learn lessons about what went wrong. These reports are the ultimate case studies, invaluable for delegates who are directors wishing to understand their duties in a practical context and for company secretaries or legal advisers looking to provide impactful boardroom training.
