Introduction

Artificial intelligence is redefining what ‘good due diligence’ means in transactions.

In traditional deals, diligence is primarily about identifying and avoiding defects. In AI-driven or AI-enabled businesses, that is no longer sufficient. Buyers and investors must also interrogate the assumptions behind value creation: where exactly does the AI advantage come from and is it truly defensible? Could it be easily replicated, substituted, or eroded after completion?

This short webinar introduces a practical framework for assessing AI businesses (and AI embedded within non-AI businesses) in a way that links technical and commercial realities directly to valuation, deal protection and post-closing remediation strategies. It equips deal teams to move beyond surface-level review and properly price, structure and protect against AI-specific risks.

The webinar is designed for transactional lawyers, in-house counsel, private equity and venture capital professionals, corporate development teams and others involved in M&A and investment decisions where AI risk assessment is critical.

What You Will Learn

The webinar will cover the following:

  • A practical AI diligence framework covering Value & Moat, Inventory & Risk and Governance & People
  • How to determine whether an AI capability is truly differentiated, defensible and not easily replicable
  • How to construct a comprehensive AI inventory, including internal tools, fine-tuned models, third-party services and shadow AI usage
  • How to assess regulatory exposure, including role-based mapping, system classification and lifecycle compliance risks
  • The key AI-specific IP, data protection and privacy issues that should drive diligence focus
  • What effective AI governance looks like in practice, moving beyond documentation to operational reality
  • How the use of AI agents changes diligence considerations, including permissions, safeguards and disclosure obligations
  • How to translate diligence findings into warranties, disclosures, pricing adjustments and post-close remediation plans

This pre-recorded webinar will be available to view from Thursday 2nd July 2026
