Introduction

The 12-month transition period that began on 18 November 2025 has now closed, and Companies House has moved from encouraging identity verification to enforcing it. Directors, LLP members and PSCs who have not verified are no longer simply behind schedule - they are exposed to financial penalties, criminal liability and consequential restrictions on the companies they run.

This session explores what enforcement actually looks like in practice: the graduated approach Companies House has adopted, the penalties available under the Economic Crime and Corporate Transparency Act 2023, the knock-on effect on filings and appointments, and the referral routes to the Insolvency Service and prosecution.

Designed for those who advise on or run Companies House compliance, the webinar focuses on practical remediation for late or incomplete verification, group-wide audits, and preparing for the next phases of the ECCTA rollout.

What You Will Learn

This webinar will cover the following:

  • Where we are now: the ECCTA 2023 rollout, what changed on 18 November 2025 and what the end of the transition period means in practice
  • Who must be verified: directors, LLP members, PSCs and relevant officers - and how the Companies House personal code links an individual to every role held
  • The deadline that actually bites: why the confirmation statement date, rather than a single calendar date, drives most companies' timetables
  • Consequences of non-verification: the ongoing criminal offence, blocked appointments and filings and annotations to the public register
  • Companies House's graduated enforcement approach: guidance and communication, default letters, then enforcement proper
  • Financial penalties under the ECCTA regime: fixed and daily-rate penalties, how they are set, and the routes to challenge or appeal
  • Escalation: referral to the Insolvency Service, prosecution, director disqualification, court orders and striking off
  • Remediation and forward planning: catching up late verifications, board and group-wide audits and preparing for the remaining ECCTA and filing reforms
