Introduction

This course looks at preparing for and conducting due diligence on intellectual property whether for a corporate or commercial transaction.

It will include IP risk assessments, reporting the outcomes of IP due diligence, negotiating IP warranties and indemnities and any necessary post-transaction actions.

What You Will Learn

This course will cover the following:

  • How material the various different types of IP may be for a transaction
  • Pre-transaction due diligence, including:
    • Finding information on IP on public registers
    • Preparing data rooms or due diligence questionnaires
    • Risk assessment (from the buyer and seller perspective)
    • Reporting the findings
  • How to manage the impact of IP due diligence in the transaction itself
    • The negotiation and drafting of IP warranties and indemnities
    • Risk analysis
    • IP assignments and licenses
  • Post-transaction actions. In particular, recording assignments and licenses and building these into the overall cost of due diligence
