Introduction
Commercial SDLT is not simply a matter of applying the non-residential rates. The result can turn on the nature and use of the land, the identity and purpose of the purchaser, what counts as chargeable consideration, whether transactions are linked and the detailed terms and timing of a lease.
Recent tribunal decisions, increased HMRC scrutiny and the mandatory tax adviser registration regime make it increasingly important to identify and record the SDLT analysis before completion.
This virtual classroom seminar will give delegates a structured approach to commercial, corporate and mixed-use transactions, using worked examples to show where errors commonly arise and when specialist advice should be obtained.
What You Will Learn
This live and interactive course will cover the following:
- Identify whether a transaction is residential, non-residential or mixed-use, including agricultural land, the ‘garden or grounds’ test and acquisitions of six or more dwellings
- Determine the chargeable consideration, including VAT, assumed debt, deferred or contingent payments, construction obligations and linked transactions
- Apply the rules for corporate and connected-party purchasers, including the market-value rule, the 17% rate for high-value dwellings, qualifying rental or development reliefs and the interaction with ATED
- Calculate SDLT on commercial leases, including premiums, rent net present value, rent-free periods, variable or turnover rent, agreements for lease and substantial performance
- Deal with assignments, lease extensions and variations, reversionary leases, surrender and regrant and overlap relief
- Recognise when group relief and the Schedule 15 partnership rules may be relevant, together with the principal withdrawal and clawback risks
- Manage practical compliance, including the 14-day filing deadline, amendments and later returns, evidence, adviser registration and HMRC enquiry risk
